Transfer of Company

We legally comply with the statutory requirements of incorporation. Our enclosure set contains all the necessary documentation for transferral procedures.

Memorandum & Articles of Association

Limited companies are required by Company Law to have a Memorandum and Articles of Association. These have been prepared by leading London Solicitors and are being constantly updated in accordance with the implementation of the Companies Act 2006.

Main Objects

Our standard clause "General Commercial Company" allows a company to "undertake any legal or lawful activity".

Authorised and Issued Share Capital

All our "ready made" companies are formed with an authorised share capital of £10,000 and we will form a "special formation" company with this amount unless we are instructed to the contrary. The Companies Act requires all companies to have at least one shareholder, who holds a minimum one share. Please notify Companies House if you issue any extra shares, by completing a Form 88(2), which is included in every JP company package.

Limited Liability

A "Limited Liability Company" effectively limits the financial liability of the members (also known as shareholders) to the extent of such members paid up share capital. There cannot be two limited companies with exactly the same name.

Printing of Stationery

All companies are legally required to publish the full company name, the company number, the registered office address and place of registration (i.e, England and Wales, or Scotland) on all stationary, letter headings and websites.

Until a company has been incorporated, we strongly recommend that no stationery be ordered, as although a name may seem to be acceptable, it is always possible that it may be refused by the Registrar of Companies.

Company Seal

A company seal is used for embossing (sealing) the company name on contracts, leases and other legal documents. Since the Companies Act 1989 the use of a company seal has become voluntary at the discretion of the company. Our Memorandum & Articles provide for the company seal not to be used if so required.

Company Registers

The company must keep a written record of Members, Directors and Secretaries, charges and issue of share certificates. All our registers, when completed, will ensure you meet these requirements of the Companies Acts.
